Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", or "Customer") and Autonomite LLC, doing business as Sidekick Forge ("Sidekick Forge", "we", "us", or "our"). They govern your access to and use of the Sidekick Forge website, platform, desktop application, APIs, and related services (together, the "Service").

By creating an account, purchasing a subscription, or otherwise using the Service, you accept these Terms. If you do not agree, do not use the Service. If you are accepting on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The Service

Sidekick Forge is a multi-tenant platform for building, configuring, and operating AI-powered sidekick agents, including text, voice, and video interactions, knowledge retrieval over content you provide, and integrations with third-party tools. Features vary by plan, and we may add, change, or remove features over time as described in Section 18.

3. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You agree to provide accurate account information and to keep it current.
• You are responsible for safeguarding your credentials and for all activity that occurs under your account.
• You must notify us promptly at help@sidekickforge.com if you suspect unauthorized access.
• You are responsible for the conduct of any team members, collaborators, or end users you allow to access your account or your sidekicks.

4. Plans, Fees, and Billing

Paid plans are offered on a monthly or annual subscription basis at the prices listed on our pricing page. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.

• Renewal: subscriptions renew automatically at the end of each billing period at the then-current rate unless you cancel before the renewal date.
• Usage and overages: some plans include usage allowances, with additional usage (such as voice and video minutes) billed at the overage rates published on the pricing page. Overage charges are billed in arrears.
• Bring your own keys (BYOK): where a plan supports supplying your own third-party provider keys, you are solely responsible for the fees, limits, and terms of those providers, and no Sidekick Forge overage applies to that usage.
• Taxes: fees are exclusive of taxes, and you are responsible for any applicable sales, use, VAT, or similar taxes.
• Failed payments: if a charge fails, we may retry it and may suspend the Service until payment is received.
• Price changes: we may change prices for future billing periods with at least 30 days' notice. Continuing to use the Service after the change takes effect constitutes acceptance.

5. 14-Day Money-Back Guarantee

If you are not satisfied with a paid plan, you may request a full refund of your first subscription payment within 14 days of that initial charge by contacting help@sidekickforge.com. We will refund the subscription fee to your original payment method and close the associated subscription.

The guarantee applies once per customer and covers the initial subscription charge only. Renewal charges, usage-based overage charges already incurred, and any third-party provider fees are not refundable. Except as described in this section or where required by law, all fees are non-refundable.

6. Cancellation and Termination

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation stops the next renewal; your access continues through the end of the billing period you have already paid for, and no partial-period refund is issued except under Section 5.

We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that creates legal risk or harms the Service or other users. Where practical, we will give you notice and an opportunity to cure. On termination, your right to use the Service ends. You may export your content before termination, and we will retain your data for a reasonable period afterward as described in our Privacy Policy.

7. Your Content

"Customer Content" means everything you or your end users submit to the Service, including agent configurations, prompts, documents, knowledge bases, recordings, and conversations. As between you and us, you own your Customer Content.

You grant us a limited, non-exclusive license to host, store, process, transmit, and display Customer Content solely for the purpose of operating and supporting the Service for you — for example, storing a document so your sidekick can retrieve it, or passing a prompt to a model provider so a response can be generated. This license exists only to run the Service and ends when you delete the content or close your account. You represent that you have the rights necessary to submit your Customer Content and that it does not infringe the rights of others.

8. AI Output

"Output" means the content your sidekicks generate in response to your inputs. As between you and us, you own the Output generated for your account, and you may use it for any lawful purpose, subject to these Terms and to the terms of any third-party model provider involved.

AI systems are probabilistic. Output may be inaccurate, incomplete, outdated, or unsuitable for your situation, and similar prompts may produce similar Output for other customers, so Output is not guaranteed to be unique. You are responsible for reviewing Output before relying on it or publishing it. Output is not professional advice and must not be treated as legal, medical, financial, or other regulated advice. Do not use the Service as the sole basis for decisions that require professional judgment or that could affect someone's health, safety, legal rights, or finances.

9. Model Training — Private by Default

We do not use your Customer Content or Output to train AI models. Your data is private by default. We process it only to deliver the Service to you, as described in Section 7 and in our Privacy Policy.

If we later offer fine-tuned models that benefit from customer data, participation will be strictly voluntary and will require your affirmative, opt-in consent submitted through the Service. We will not enroll you automatically, and we will not treat continued use of the Service, acceptance of updated Terms, or silence as consent. You may withdraw a previously given opt-in at any time, which will stop further use of your data for training going forward.

10. Acceptable Use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right, including privacy and intellectual property rights.
• Generate or distribute malware, spam, phishing content, or fraudulent or deceptive material.
• Impersonate a person or organization, or misrepresent an AI sidekick as a human where doing so is unlawful or deceptive.
• Create content that sexually exploits minors, incites violence, or harasses, threatens, or defames others.
• Upload personal data you lack a lawful basis to process, or record calls or meetings without the consent required in the relevant jurisdiction.
• Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except where such a restriction is prohibited by law.
• Probe, scan, or circumvent the security, rate limits, usage metering, or tenant isolation of the Service.
• Resell, sublicense, or provide the Service to third parties as a standalone product, except as expressly permitted by your plan.
• Use automated means to overload the Service or to scrape it beyond what your plan permits.

We may investigate suspected violations and may remove content or suspend accounts that we reasonably believe violate this section.

11. Third-Party Services

The Service relies on and integrates with third-party providers, including cloud hosting and database providers, AI model providers, voice and telephony providers, payment processors, and any tools you choose to connect. Your use of those services may be subject to their own terms, and their availability, performance, and pricing are outside our control. We are not responsible for third-party services, and a failure or change by a provider is not a breach of these Terms by us. If you supply your own provider credentials, you are responsible for keeping them valid and for all charges incurred under them.

12. Our Intellectual Property

The Service, including its software, interfaces, documentation, prompts and templates we supply, trademarks, logos, and the Sidekick Forge name, is owned by Autonomite LLC and its licensors and is protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

13. Feedback

If you send us suggestions, feature requests, or other feedback, you grant us a perpetual, irrevocable, royalty-free license to use it to improve the Service without obligation or compensation to you. Feedback is not treated as your confidential information, so please do not include anything you consider proprietary.

14. Confidentiality

Each party may receive non-public information from the other in connection with the Service. The receiving party will protect that information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors bound by similar obligations, or as required by law. This section does not apply to information that is public, already known without a duty of confidence, or independently developed.

15. Availability, Beta Features, and Support

We work to keep the Service available and reliable, but we do not commit to a specific uptime level unless we have signed a separate written agreement with you that says otherwise. We may perform maintenance, and the Service may be unavailable from time to time. Features labeled beta, preview, early access, or experimental are provided as-is, may change or be discontinued, and may be less stable than generally available features. Support is provided at the level described for your plan, primarily by email at help@sidekickforge.com.

16. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, TO EITHER PARTY'S LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT, OR TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

18. Changes to the Service and These Terms

We may modify the Service over time, including adding, changing, or discontinuing features. If we discontinue a material feature of a paid plan, we will provide reasonable notice. We may also update these Terms; the current version is always posted on this page with the "Last updated" date. Material changes take effect 30 days after we post them or notify you, whichever is later, and your continued use after that date constitutes acceptance. Note that, as stated in Section 9, continued use is never treated as consent to model training.

19. Indemnification

You agree to defend, indemnify, and hold harmless Autonomite LLC and its officers, employees, and agents from any third-party claims, damages, liabilities, and reasonable legal fees arising out of your Customer Content, your use of the Service, your violation of these Terms or applicable law, or your infringement of a third party's rights. We will notify you of the claim, give you control of the defense, and cooperate reasonably at your expense.

20. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.

Informal resolution first. Before starting a formal proceeding, you agree to contact us at help@sidekickforge.com and give us 30 days to resolve the dispute informally.

Binding arbitration. If we cannot resolve a dispute informally, you and Sidekick Forge agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. The arbitration will take place in Travis County, Texas, or by videoconference or on the documents alone if you prefer. The arbitrator's decision may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You and Sidekick Forge agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over a representative action. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court and the rest of this section will remain in effect.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods. Subject to Section 20, you and Sidekick Forge submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

22. General

• Entire agreement: these Terms and the Privacy Policy are the entire agreement between us regarding the Service and supersede prior discussions, unless we have signed a separate written agreement with you, which will control to the extent it conflicts.
• Severability: if a provision is found unenforceable, it will be modified to the minimum extent necessary and the rest of these Terms will remain in effect.
• No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
• Notices: we may send notices to the email address on your account; you may send notices to help@sidekickforge.com.
• Relationship: these Terms do not create a partnership, joint venture, employment, or agency relationship.
• Survival: sections that by their nature should survive termination will survive, including Sections 7, 8, 9, 12, 13, 14, 16, 17, 19, 20, 21, and 22.
